Terms and Conditions for using the Betakom web app and transport services
Important Information
Please read these terms and conditions carefully before using our services. By using our web app and commissioning transport services, you agree to these Terms and Conditions.
1. Preamble
Betakom GmbH organizes transport services in its own name but does not carry them out itself. Execution is carried out exclusively by carefully selected subcontractors or through freight exchanges.
Note: Betakom GmbH acts as an intermediary and organizer. The physical execution of transports is carried out by qualified partners.
2. Scope of Application
(1) Applicability to All Contracts
These Terms and Conditions apply to all contracts between Betakom GmbH and customers as well as subcontractors, regardless of whether these are concluded via the WebApp, by email, by phone, or by other means.
(2) Exclusion of Deviating Conditions
Deviating terms and conditions are not recognized unless Betakom expressly agrees to their validity in writing.
(3) Additional Provisions
For businesses (§ 14 BGB German Civil Code), the ADSp 2017(German Freight Forwarders' General Terms and Conditions) additionally apply, unless otherwise specified.
For international transports, the provisions of the CMR Convention apply.
3. Role of Betakom GmbH
(1) Contractual Partner
The customer's contractual partner is exclusively Betakom GmbH.
(2) Use of Subcontractors
Betakom employs subcontractors for execution. The identity of these subcontractors is not disclosed to the customer.
(3) Limitation of Liability
Betakom is not liable for loss, theft, damage, or delayed delivery of goods. Customer claims must be made exclusively against the executing subcontractor.
Important: In case of damage, the directly executing subcontractor is the correct contact for damage claims.
(4) No Replacement Obligation
If the subcontractor is unreachable in case of damage, insolvent, or refuses settlement, there is no replacement obligation on the part of Betakom GmbH.
4. Customer Obligations
- Complete and correct information (loading/unloading address, times, dimensions, weight).
- Compliance with facility hours; consent required for loading/unloading outside regular hours.
- Additional costs or cancellation fees due to false information are borne by the customer.
- Decision regarding additional transport insurance is up to the customer.
5. Subcontractor Obligations
- Proof of valid EU license and transport insurance.
- Liability for damages, loss, theft, and delays.
- Indemnification of Betakom GmbH from all customer claims.
- Prohibition of direct contact with customers for circumvention purposes → contractual penalty + exclusion.
CMR Creation
The signed CMR must be uploaded via the carrier page within 24 hoursafter delivery at the latest.
Payment to the subcontractor only occurs after the customer has confirmed the CMR in the system.
The subcontractor can select the desired payout period on the carrier page themselves.
6. Waiting Times & Loading
Free Time Window
Loading/unloading time window: 2 hours free of charge
- After that, €60 per started hour plus VAT will be charged.
- Customer can contest waiting times if unjustified.
- Driver may only load/unload within the agreed time window.
- If the driver arrives late, no automatic waiting fees are incurred for the customer.
7. Cancellations
✓ Free Cancellation
Up to 24 hours before the scheduled loading time – even if a subcontractor has already been assigned.
Late Cancellation
For cancellations less than 24 hours before loading time: 80% of the agreed price
No-Show
In case of no-show (no cancellation, no loading readiness): 100% of the agreed price
Subcontractor Cancellations
Subcontractors who cancel after acceptance may be subject to contractual penalty and exclusion.
8. Abuse & Sanctions
- Intentional false information, circumvention of the platform, or other manipulations result in contractual penalty + permanent ban.
- Betakom may suspend accounts and freeze credits in case of disputes.
9. Payments & Prices
- Betakom purchases transport services and resells them to customers; the margin remains with Betakom.
- Payment obligation exists exclusively toward Betakom.
- Prices are binding upon order confirmation.
10. Final Provisions
Applicable Law
German law applies.
Jurisdiction
Munich (for businesses)
Consumers
For consumers, the statutory jurisdiction applies.
Severability Clause
Should any provision be invalid, the contract remains valid otherwise.
